Terms of Service

Effective Date: July 14, 2026

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Agreed, a contract and legal agreement management platform offering e-signature, document signing, and marketplace deal services, available at https://agreed.net/ ("the Platform").

By creating an account, accessing, or using Agreed, you agree to be bound by these Terms. If you are using Agreed on behalf of a company or organization, you confirm you have authority to bind that entity to these Terms. If you do not agree, you must not use the Platform.

2. Eligibility

Agreed is available to users of all ages, subject to the following conditions:

  • Users under the applicable age of majority in their jurisdiction may use the Platform only with the consent and supervision of a parent or legal guardian
  • Only users who have reached the legal age of contractual capacity in their jurisdiction may create legally binding e-signatures or agreements
  • You must provide accurate and complete registration information

3. Account Registration & Security

  • You are responsible for maintaining the confidentiality of your login credentials
  • You are responsible for all activity that occurs under your account
  • You must notify us immediately at [email protected] of any unauthorized access or security breach
  • We reserve the right to suspend or terminate accounts that provide false information or violate these Terms

4. Description of Services

Agreed provides the following core services:

  • Creation, storage, and management of contracts and legal agreements
  • Electronic signature ("e-signature") tools for signing and executing documents
  • A marketplace for posting, discovering, and negotiating deals between users

Agreed offers both free and paid subscription plans. Features, storage limits, and functionality available to you depend on your selected plan.

5. Subscription Plans & Payments

  • Free plan users have access to limited features as described on our pricing page
  • Paid subscription plans are billed on a recurring basis (monthly or annually, as selected)
  • All fees are non-refundable except where required by law or explicitly stated otherwise
  • We may change subscription pricing with at least 30 days' advance notice to existing subscribers
  • Failure to pay subscription fees may result in downgrade or suspension of your account

You are responsible for any applicable taxes associated with your use of paid services.

6. Electronic Signatures & Legal Validity

Agreed enables users to create both legally binding electronic signatures and informal, non-binding agreements.

  • Legally binding signatures executed through Agreed are intended to comply with applicable e-signature laws, including the U.S. ESIGN Act, UETA, the EU eIDAS Regulation, and India's IT Act 2000, where applicable
  • You are solely responsible for ensuring that any agreement you create or sign complies with the laws applicable to your transaction and jurisdiction
  • Agreed is not a party to any agreement signed on the Platform and does not provide legal advice

We recommend consulting a qualified legal professional for agreements involving significant legal or financial consequences.

7. Marketplace & Deals

  • Users may list, discover, and negotiate deals through the Agreed marketplace
  • Agreed acts solely as a facilitator and is not a party to any transaction between users
  • Users are responsible for verifying the legitimacy, accuracy, and terms of any deal or counterparty before entering into an agreement
  • Agreed does not guarantee the outcome, performance, or fulfillment of any marketplace transaction

8. User Content & Responsibilities

You retain ownership of all documents, agreements, and content you upload to Agreed ("User Content"). By uploading content, you grant Agreed a limited license to store, process, and display that content solely to provide the Platform's services.

You agree not to use Agreed to:

  • Upload or create content that is unlawful, fraudulent, defamatory, or infringes on third-party rights
  • Create agreements intended to facilitate illegal activity
  • Impersonate another person or misrepresent your identity or authority
  • Interfere with or disrupt the security or performance of the Platform
  • Reverse-engineer, scrape, or misuse the Platform's software or data

9. Intellectual Property

The Agreed name, logo, platform design, and underlying software are the exclusive property of Agreed and its licensors. Nothing in these Terms grants you any right to use our trademarks, branding, or proprietary technology without prior written consent.

10. Termination

  • You may close your account at any time through account settings or by contacting [email protected]
  • We may suspend or terminate your account for violation of these Terms, fraudulent activity, or non-payment
  • Upon termination, your right to use the Platform ceases immediately; certain data may be retained as described in our Privacy Policy

11. Disclaimers

Agreed is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or completely secure. Agreed does not provide legal, financial, or tax advice, and use of the Platform does not create an attorney-client relationship.

12. Limitation of Liability

To the maximum extent permitted by law, Agreed and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to loss of data, revenue, or business opportunities. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to Agreed in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Agreed from any claims, damages, or expenses arising from your use of the Platform, your User Content, or your violation of these Terms or applicable law.

14. Governing Law & Dispute Resolution

These Terms are governed by applicable international commercial principles and, where relevant, the laws of the jurisdiction in which Agreed is legally established, without regard to conflict-of-law principles. Users are encouraged to resolve disputes through good-faith negotiation; unresolved disputes may be subject to binding arbitration or the courts of competent jurisdiction as further detailed in a separate Dispute Resolution Addendum.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-platform notice at least 15 days before taking effect. Continued use of Agreed after changes take effect constitutes acceptance of the revised Terms.
